Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
On December 11, 2024, the Board of Directors of NVR, Inc. (the "Company") approved an amendment to the Company's Bylaws (the "Amended and Restated Bylaws") regarding shareholder requested special meetings. Article 2.05 of the Amended and Restated Bylaws has been amended to provide that a special meeting of shareholders may be requested by one or more shareholders of record owning, and having owned continuously for a period of at least one year prior to the date such special meeting request is received, not less than 25% combined of NVR's outstanding common stock. This description of the amendment to the Bylaws is qualified in its entirety by reference to the text of the Amended and Restated Bylaws, filed as Exhibit 3.1 to this Current Report on Form 8-K and incorporated by reference.
