(1) On September 27, 2024, Vertex Energy, Inc. (the “Company”) received written notice from the Listing Qualifications Department of the Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that Nasdaq had determined that the Company’s common stock would be delisted from Nasdaq. On October 8, 2024, the Company’s common stock was suspended from trading and began trading on the OTC Pink Market under the symbol “VTNRQ.” On January 10, 2025, Nasdaq announced it would delist the Company’s common stock.

EXPLANATORY NOTE

 

As previously disclosed, on September 24, 2024, the Company and certain of the Company’s direct and indirect subsidiaries (collectively, the “Debtors”), filed voluntary petitions for relief (the “Chapter 11 Cases”) under title 11 of the United States Code, 11 U.S.C. §§ 101 - 1532 (the “Bankruptcy Code”) in the United States Bankruptcy Court for the Southern District of Texas (the “Bankruptcy Court”). On December 20, 2024, the Debtors filed the Second Amended Joint Chapter 11 Plan of Vertex Energy, Inc. and its Debtor Affiliates [Docket No. 564] (as may be amended, modified, or supplemented from time to time, the “Plan”) with the Bankruptcy Court. On December 20, 2024, the Bankruptcy Court entered the Order Confirming the Second Amended Joint Chapter 11 Plan of Vertex Energy, Inc. and Its Debtor Affiliates [Docket No. 578] confirming the Plan. Capitalized terms used but not specifically defined herein have the meanings specified for such terms in the Plan.

 

 
 

 

Item 7.01 Regulation FD Disclosure.

 

On October 31, 2024, November 27, 2024, and December 23, 2024, the Company filed with the Bankruptcy Court the monthly operating reports for the periods ended September 30, 2024, October 31, 2024, and November 30, 2024, respectively (collectively, the “Monthly Operating Reports”). The Monthly Operating Reports relate to the Debtors and exclude any non-Debtor entities. The Monthly Operating Reports are attached hereto as Exhibit 99.1, Exhibit 99.2, and Exhibit 99.3 respectively.  This Current Report on Form 8-K (including the exhibits attached hereto) will not be deemed an admission as to the materiality of any information required to be disclosed solely by Regulation FD. The Monthly Operating Reports and other filings with the Bankruptcy Court related to the Chapter 11 Cases are available electronically at https://veritaglobal.net/vertex.
