Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On March 10, 2025, Nanophase Technologies Corporation (the “Company”) filed a Certificate of Amendment to the Company’s Certificate of Incorporation (the “Certificate of Amendment”) with the Secretary of State of the State of Delaware to change the Company’s name to “Solesence, Inc.” The name change is part of the Company’s rebranding effort to underscore the success of the Company’s beauty science platform and marks a new chapter in its commitment to innovation, self-expression, and inclusivity in skin health. The Certificate of Amendment became effective upon filing.
