Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On January 22, 2025, Christopher D. Young informed Microsoft Corporation (the “Company”) of his decision to resign from the Company. As a result, he will cease to serve as Executive Vice President, Business Development, Strategy, and Ventures, effective immediately. He will remain an employee of the Company to provide transition support and fulfill additional responsibilities until the end of March.
