ITEM 5.02. DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS

(e) On January 16, 2025, the Compensation Committee (the "Committee") of M.D.C. Holdings, Inc. (the “Company”) took the action described below with respect to compensation of executive officers.

Chief Executive Officer Base Salary

The Committee determined that David N. Viger's base salary would increase to $900,000 annually effective as of January 11, 2025.

Executive Long Term Incentive Award Grant

The Committee approved cash long term incentive awards to David N. Viger, Chief Executive Officer and Robert N. Martin, Chief Financial Officer, under the terms of the M.D.C. Holdings, Inc. Long Term Incentive Plan, in the amount of $2.3 million and $1.7 million, respectively. The awards were granted on February 24, 2025, and will vest on January 1, 2027, subject to the executives continuous service with the company through the vesting date.

The Company no longer has an obligation to file reports with the Securities and Exchange Commission ("SEC") as it no longer has any class of securities registered under Sections 12(b), 12(g) or 15(d) of the Securities Exchange Act of 1934. The Company, in its sole discretion, may stop making filings with the SEC at any time and no assumptions should be made as to continued reporting with the SEC.
