Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On September 14, 2026, Intrusion Inc. (the "Company") and Anthony Scott, the Company's President and Chief Executive Officer, entered into a Mutual Non-Renewal and Negotiation Agreement (the "Agreement").

 

Under the Agreement, the Company and Mr. Scott mutually agreed not to automatically renew Mr. Scott's Executive Employment Agreement, dated November 11, 2021 (the "Employment Agreement"), upon the expiration of its term on November 15, 2026. The Agreement results in the sunsetting of the Employment Agreement on November 15, 2026, while the parties engage in a structured period to negotiate the terms and conditions of a new employment agreement.

 

During this negotiation period, Mr. Scott will continue to serve as President and Chief Executive Officer under his existing base salary, benefits, and customary duties pursuant to the terms of the Employment Agreement.
