Entry into a Material Definitive Agreement.

On January 14, 2025, Frontier Communications Holdings, LLC entered into an amendment (the “2025 Term Loan Amendment”) to the existing credit agreement that governs its senior secured term loan credit facility with certain lenders (the “Term Loan”). The 2025 Term Loan Amendment, among other things, (x) lowers the margin over adjusted Term SOFR with respect to the Term Loan from 3.50% to 2.50% and (y) lowers the margin over the alternative base rate with respect to the Term Loan from 2.50% to 1.50%.

The foregoing description of the 2025 Term Loan Amendment is qualified in its entirety by reference to the full text of such amendment, a copy of which is filed as Exhibit 10.1, and is incorporated by reference herein.
