Item 8.01. Other Events

 

On July 10, 2023, KnightSwan Sponsor LLC (the “Sponsor”), the sponsor of KnightSwan Acquisition Corporation (the “Company”), and the Company, entered into a non-redemption agreement (the “Non-Redemption Agreement”) with an unaffiliated third party (the “Investor”).

 

Pursuant to the Non-Redemption Agreement, the Investor agreed not to redeem an aggregate of 400,000 shares of Class A common stock of the Company (the “Non-Redeemed Shares”) at the special meeting called by the Company (the “Special Meeting”) to approve, amongst other things, an extension of time for the Company to consummate an initial business combination (the “Extension Amendment Proposal”) from July 25, 2023 to July 25, 2024, or such earlier date as determined by the board of directors of the Company in its sole and absolute discretion (the “Extension”). In exchange for the foregoing commitment not to redeem such shares, the Sponsor has agreed to transfer to the Investor an aggregate of 133,200 shares of Class B common stock of the Company held by the Sponsor immediately following consummation of an initial business combination if the Investor continues to hold such Non-Redeemed Shares through the Special Meeting. The Non-Redemption Agreement is not expected to increase the likelihood that the Extension Amendment Proposal is approved by shareholders but will increase the amount of funds that remain in the Company’s trust account following the Special Meeting.
