Item 1.01 Entry into a Material Definitive Agreement.

 

Amendment No. 1 to the Trust Agreement

 

On November 15, 2023, Arisz Acquisition Corp. (“Arisz” or the “Company”) entered into Amendment No. 1 to the Investment Management Trust Agreement, dated as of November 17, 2021, by and between the Company and Continental Stock Transfer & Trust Company, a New York corporation (the (the “Trust Amendment”) to allow for the funds in the trust account of the Company (the “Trust Account”), to be held in an interest-bearing bank demand deposit account.

 

The foregoing description of the Trust Amendment does not purport to be complete and is qualified in its entirety by reference to the full text of the Trust Amendment, a copy of which is filed herewith as Exhibit 10.1 and is incorporated herein by reference.

 

Item 8.01 Other Events

 

Liquidation of Investment Held in the Trust Account Into Cash Held in an Interest-Bearing Bank Demand Deposit Account

 

In order to mitigate the potential risks of being deemed to have been operating as an unregistered investment company for purposes of the Investment Company Act of 1940, as amended (the “Investment Company Act”), the Company has determined to instruct Continental Stock Transfer & Trust Company, the trustee with respect to the trust account of the Company (the “Trust Account”), to liquidate the U.S. government treasury obligations and money market funds held in the Trust Account and to hold all funds in the Trust Account in cash in an interest-bearing bank demand deposit account until the earlier of consummation of the Company’s initial business combination or liquidation. Interest on such demand deposit account is variable and therefore such rate of interest may decrease or increase significantly. As a result, following such liquidation, the Company may receive less interest on the funds held in the Trust Account, which would reduce the dollar amount public shareholders would receive upon any redemption or liquidation of the Company.

Extension of Business Combination Period to December 22, 2023

 

As previously disclosed, on May 11, 2023, Arisz Acquisition Corp. (“Arisz”) held a special meeting of stockholders to consider, among other things, proposals to amend Arisz’s amended and restated certificate of incorporation in order to extend the time Arisz has to complete its initial business combination up to nine (9) times, with each extension allowing for an additional one (1) month period, from May 22, 2023 to February 22, 2024, provided that Arisz contributes to the trust account established at the closing of Arisz’s initial public offering for the benefit of its public stockholders (the “Trust Account”) the amount of $120,000 for each one-month extension, paid on a month-to-month and as-needed basis. At the special meeting, the requisite number of stockholders voted in favor of these proposals.

On November 15, 2023, Arisz received notice from its sponsor, Arisz Investment LLC (the “Sponsor”), that it was extending the time available to Arisz to consummate its initial business combination from November 22, 2023 to December 22, 2023 (the “November 2023 Extension”). In connection with the November 2023 Extension, on November 20, 2023, the Sponsor deposited $120,000 into the Trust Account, on behalf of Arisz, thereby extending the period of time for Arisz to consummate a business combination to December 22, 2023.
