INTRODUCTORY NOTE

 

As previously announced, on August 15, 2023, two, a Cayman Islands exempted company (“TWOA” or the “Company”), entered into a definitive business combination agreement (as may be amended, supplemented and/or restated from time to time in accordance with its terms, the “Business Combination Agreement”) with LatAm Logistic Properties, S.A., a company incorporated under the laws of Panama (together with its successors, “LLP”), and, by execution of a joinder agreement, each of Logistic Properties of the Americas, a Cayman Islands exempted company (“Pubco”), Logistic Properties of the Americas Subco, a Cayman Islands exempted company and a wholly-owned subsidiary of Pubco, and LPA Panama Group Corp., a company incorporated under the laws of Panama and a wholly-owned subsidiary of Pubco, for a proposed business combination among the parties (the “Business Combination”). Pursuant to the Business Combination Agreement, Pubco will serve as the parent company of each of TWOA and LLP following the consummation of the Business Combination.

 

Item 8.01. Other Events.

 

On March 18, 2024, LLP issued a press release announcing the signing of a lease agreement in Peru. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and incorporated into this Item 8.01 by reference.

 

As previously announced, TWOA and LLP will host a virtual investor day on Tuesday, March 19, 2024, at 2:00 p.m. ET. Attached as Exhibit 99.2 to this Current Report on Form 8-K and incorporated into this Item 8.01 by reference is the investor presentation that will be used by TWOA and LLP at the virtual investor day.
