Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 21, 2025, our board of directors appointed Dr. Vishwajyoti P. Srivastava, M.D., who has served as our President and Chief Operating Officer – Asia, to the new position of Chief Executive Officer – Asia Pacific. In such capacity, he will oversee all aspects of our operations, including cross-functional departmental oversight, national and international marketing, regulatory affairs and business expansion. Our board of directors also approved an increase in Dr. Srivastava’s base compensation to $300,000 annually.
