On April 27, 2023, Coursera, Inc. (the “Company”) issued a press release announcing its financial results for the quarter ended March 31, 2023. The full text of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.

Item 7.01    Regulation FD Disclosure.
On April 27, 2023, the Company issued a press release announcing that its board of directors (the “Board”) approved a stock repurchase program (the “Repurchase Program”), pursuant to which the Company is authorized to repurchase up to $95 million of its outstanding common stock, $0.00001 par value per share (the “common stock”), through open market purchases, in privately negotiated transactions, or by other means, including through the use of trading plans intended to qualify under Rule 10b5-1 under the Exchange Act, in accordance with applicable securities laws and other restrictions. The Repurchase Program is designed to reduce the impact of share dilution from one-time employee stock issuances granted during the year ended December 31, 2022 to attract, retain, and motivate key talent. The number of shares to be repurchased and the timing of the repurchases, if any, will depend on several factors, including, without limitation, business, economic, and market conditions, corporate, legal, and regulatory requirements, prevailing stock prices, trading volume, and other considerations. The Repurchase Program may be suspended or discontinued at any time and does not obligate the Company to acquire any amount of its common stock. The Company expects to utilize its existing cash and cash equivalents to fund repurchases under the Repurchase Program.
