At the 2025 Annual Meeting of Stockholders (the “Annual Meeting”) of Clipper Realty Inc. (the “Company”) held on June 18, 2025, the stockholders of the Company approved the 2025 Omnibus Incentive Compensation Plan (the “Omnibus Plan”) and the 2025 Non-Employee Director Plan (the “Non-Employee Director Plan” and together with the Omnibus Plan, the “Plans”)..
Summaries of the terms of the Plans are set forth in the Company’s’ definitive proxy statement for the Annual Meeting filed with the Securities and Exchange Commission on April 30, 2025 (the “Proxy Statement”).
