Item 2.02Results of Operations and Financial Condition.

On May 5, 2023, Twist Bioscience Corporation (the “Company” or “Twist Bioscience”) issued a press release announcing its financial results for the quarter ended March 31, 2022. The full text of the press release issued in connection with the announcement is furnished as Exhibit 99.1 to this Current Report on Form 8-K.

Item 2.05     Costs Associated with Exit or Disposal Activities.

On May 3, 2023, the Company’s board of directors approved a strategic restructuring plan, which includes a reduction in force affecting approximately 270 employees worldwide, representing approximately 25% of the Company’s total workforce.

The Company expects the plan to be implemented beginning in the third quarter of fiscal year 2023 and substantially completed by the end of fiscal year 2023. The Company expects to incur pre-tax charges of between $9 and $11 million, consisting of cash expenditures for employee severance and related benefit costs. In addition, the Company expects that it may incur additional charges related to facility consolidation, asset impairments and inventory write-offs that it is currently not able to estimate in good faith, and in accordance with Item 2.05 of Form 8-K, the Company will file an amendment to this report upon determination of such estimated additional charges, if any. The Company’s estimates are subject to a number of assumptions, and actual results may materially differ. The Company may also incur additional costs not currently contemplated due to events that may occur as a result of, or that are associated with, the restructuring plan.
