Item 5.02.Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 31, 2025, Thomas J. DeRosa, a member of the board of directors (the “Board”), Chair of the Compensation Committee and a member of the Audit Committee of Empire State Realty Trust, Inc. (the “Company”), notified the Company of his intention to retire and not stand for re-election to the Board at the Company’s 2025 Annual Meeting of Shareholders, currently expected to be held on May 15, 2025 (the “Annual Meeting”). Mr. DeRosa’s decision is not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices, and he will continue to serve as a director of the Company until the Annual Meeting.

Mr. DeRosa has served as a director since the Company’s initial public offering in 2013, and the Company’s Board and management thank Mr. DeRosa for his distinguished service and outstanding contributions during his long tenure.
