Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. |
As disclosed in a Current Report on Form 8-K previously filed on June 24, 2025 by TuHURA Biosciences, Inc., a Nevada corporation (the “Company”), during a Special Meeting in Lieu of an Annual Meeting of the Company held on June 23, 2025, the stockholders of the Company approved an amendment to the Company's Articles of Incorporation increasing the number of authorized shares of common stock from 75 million to 200 million shares (the “Amendment”). This Current Report on Form 8-K is being filed to disclose that, on June 23, 2025, the Company filed with the Nevada Secretary of State a Certificate of Amendment to Articles of Incorporation (the “Certificate of Amendment”) effectuating the Amendment. After giving effect to the Amendment, the Company’s authorized capital stock consists of 200,000,000 shares of common stock, par value $0.001 per share, and 5,000,000 shares of preferred stock, par value $0.001 per share. A copy of the Certificate of Amendment is filed as Exhibit 3.1 hereto.
