Item 1.01. Entry into a Material Definitive Agreement.
On February 26, 2026, CyberloQ Technologies, Inc., a Nevada corporation (the “Company”) entered into an agreement with Relevate AI (“Relevate”) to integrate the features of CyberloQ® and its multi-factor security protocol into Relevate’s Platform as an authentication option. Relevate shall pay CyberloQ a monthly license fee of $750 per month plus a 10% commission per user. Relevate’s pricing is $50 per user per month, per user for Relevate’s platform, which would result in a $5 commission for any closed sales opportunities initiated through CyberloQ. In addition, Relevate shall receive a 10% commission on any sales opportunities CyberloQ closes with customers for opportunities initiated through Relevate. The term of the agreement is for twelve months, after which the parties will review the arrangement and decide whether to continue the agreement.
