Item 8.01

Other Events.

On December 16, 2024, upon the recommendation of the Compensation Committee of the Board of Directors (the “Board”) of Kura Oncology, Inc. (the “Company”), the Board approved an amendment to the Company’s 2023 Inducement Option Plan to reserve an additional 1,900,000 shares of the Company’s common stock, for a new total of 2,500,000 shares of the Company’s common stock, to be used exclusively for grants of nonstatutory stock options to individuals that were not previously employees or directors of the Company (or following a bona fide period of non-employment), as an inducement material to the individual’s entry into employment with the Company, pursuant to Nasdaq Listing Rule 5635(c)(4) (the “Amended Inducement Plan”). The Amended Inducement Plan was approved without stockholder approval pursuant to Nasdaq Listing Rule 5635(c)(4).
