Item 5.07 Submission of Matters to a Vote of Security Holders.

The Company held its Annual Meeting solely by means of remote communication through a live webcast on May 21, 2025, at 8:30 a.m., Pacific Time. There were represented at the Annual Meeting, by proxy, 960,070 shares of the Company’s common stock, par value $0.0001 per share (“Common Stock”), out of a total number of 1,492,858 shares of Common Stock outstanding and entitled to vote at the Annual Meeting. The Company’s stockholders voted on the following three proposals at the Annual Meeting, casting their votes as described below.

The following individuals, who were named as nominees in the Company’s definitive proxy statement relating to the Annual Meeting, were elected by the Company’s stockholders by a plurality of votes cast to serve a three-year term on the Company’s Board of Directors (the "Board") which will expire at the Company’s 2028 annual meeting of stockholders. Proposal 4 was to approve, on an advisory basis, the frequency of holding future advisory votes on the compensation of the Company's named executive officers as disclosed in the Company's definitive proxy statement. The “Three Years” alternative received the highest number of votes and is the stockholders’ recommendation, on an advisory basis, of the frequency of the stockholder vote on executive compensation. The Board determined to hold future advisory votes on executive compensation every three years based upon the stockholders’ recommendation.
