Item 8.01 Other Events.
On March 5, 2025, Celanese Corporation (“Celanese”) issued a press release announcing that Celanese US Holdings LLC, a direct wholly-owned subsidiary of Celanese (the “Company”), has commenced cash tender offers (the “Tender Offers”) to purchase up to an aggregate principal amount not to exceed €500 million of its outstanding 4.777% Senior Notes due 2026 and up to an aggregate principal amount not to exceed $250 million of its outstanding 6.415% Senior Notes due 2027. The Tender Offers are subject to the terms and conditions set forth in the Offer to Purchase, dated March 5, 2025.
