Item 1.01.    Entry into a Material Definitive Agreement.
On May 22, 2025, Encore Capital Group, Inc. (the “Company”) issued an additional commitment increase notice and entered into an amendment letter (the “Amendment Letter”) that amended and supplemented its existing global senior secured revolving credit facility agreement originally dated September 20, 2012 (the “Global Senior Facility”) by and among the Company, the several guarantors, banks and other financial institutions and lenders from time to time party thereto and Truist Bank as Agent and Security Agent to, among other things, (1) reflect a $190 million upsize of the facility from $1,295 million to $1,485 million and (2) extend the termination date of the facility from September 2028 to September 2029 except for a $69.5 million tranche that will continue to terminate in September 2028.
