Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 2, 2024, Jason Silberstein, Executive Vice President, Site Leasing of SBA Communications Corporation (the “Company”) provided notice of his intent to retire from his current title and roles at the Company and all its subsidiaries effective August 1, 2024. Mr. Silberstein will remain as a non-executive employee through September 30, 2024 in order to further support the transition of his role and responsibilities.

A copy of the press release announcing the retirement of Mr. Silberstein is furnished with this report as Exhibit 99.1.
