Item 1.01 Entry Into A Material Agreement.

 

The information set forth in Item 5.02 is incorporated by reference into this Item 1.01.

 

Item 2.03 Creation of a Direct Financial Obligation or an Obligation Under an Off-Balance Sheet Arrangement of a Registrant.

 

On May 21, 2025, Awaysis Capital, Inc. (the “Company”), as borrower, entered into a Convertible Promissory Note with Andrew Trumbach, the Company’s Co-CEO and CFO as the lender, which memorialized a $150,000 loan and loan terms (the “Note”). The amount borrowed was provided by Dr. Trumbach to the Company on April 10, 2025. Interest on the Loan is 12% per annum, payable, with the principal and any and all fees, costs and expenses then due under the Note, on October 10, 2025 (the “Maturity Date”). The Note is convertible into the common stock of the Company, in whole or in part, at the option of Dr. Trumbach at any time prior to the Maturity Date, at an exercise price per share of $0.16.

 

The Company is using the proceeds from the loan for working capital and general corporate purposes.

 

The Note contains customary Events of Default for transactions similar to the transactions contemplated by the Note, which entitle Dr. Trumbach, among other things, to accelerate the due date of the unpaid principal and accrued and unpaid interest of the Note.
